1. Agreement to Terms

By installing or using NativeQuote ("the App", "Service"), operated under the SyntaCraft studio brand, you agree to be bound by these Terms of Service. If you do not agree with these terms, you must immediately uninstall the App from your Shopify store.

2. Description of Service

NativeQuote is a software application designed for Shopify merchants that provides:

• Storefront Request-for-Quote (RFQ) buttons and slide-out multi-item quote cart drawers.
• Zero-flicker retail price suppression for designated wholesale products.
• Merchant admin quote management, custom discount application, and freight fee calculation.
• One-click generation of official Shopify Draft Orders and email invoice dispatch via Shopify's native platform.

3. Merchant Responsibilities & Logistics

As a merchant using NativeQuote, you acknowledge and agree that:

• Pricing & Discounts: You retain sole discretion over all wholesale discounts, pricing rules, tax calculations, and quotation expiration terms.
• Fulfillment & Shipping: NativeQuote is a software provider, not a logistics courier or 3PL warehouse. You are exclusively responsible for packaging, freight shipping, customs, and physical fulfillment of orders placed through invoices.
• Customer Communications: You agree not to send unsolicited, deceptive, or fraudulent quotation invoices to buyers.

4. Subscription, Billing & Free Trials

All subscriptions to NativeQuote are processed natively through Shopify’s Billing API:

• 14-Day Free Trial: All paid plans include a mandatory 14-day free trial. You will not be billed during the trial period.
• Recurring Charges: Charges recur automatically every 30 days via your standard Shopify invoice unless cancelled prior to the end of the billing period.
• Cancellation: You may cancel anytime by uninstalling the application directly through your Shopify Store Admin. No further subscription charges will occur following uninstallation.

5. Intellectual Property

SyntaCraft retains all rights, title, and interest in and to NativeQuote, including all software code, visual design, documentation, and trademarks. You may not reverse engineer, decompile, or copy any portion of the App.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE APP WILL BE COMPLETELY UNINTERRUPTED OR ERROR-FREE.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SYNTCRAFT, ITS DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS, REVENUE, OR DATA) ARISING OUT OF YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY UNDER ALL CLAIMS SHALL BE STRICTLY LIMITED TO THE AMOUNT PAID BY YOU FOR THE SERVICE DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

8. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable commercial laws. Any disputes arising from these Terms shall be resolved through good-faith negotiation or binding arbitration.
